General Provisions
By placing an order, the buyer acknowledges having read and unreservedly accepted the following General Terms and Conditions of Sale of Laboratoires Dujardin-Salleron. Any conflicting clause included in the buyer’s order or general terms and conditions of purchase that has not been expressly accepted by Laboratoires Dujardin-Salleron shall be deemed null and void.
1. Purpose
These terms and conditions apply to all orders placed with Laboratoires Dujardin-Salleron, which shall only be bound by orders that it has duly accepted.
2. Prices and Payment Terms
Prices shown in catalogues, brochures, or price lists are provided for information purposes only. Supplies are always invoiced at the price applicable on the date of the order. Prices are stated in euros, both excluding and including tax, in the quotation, order acknowledgment, and invoice.
All prices applicable to each geographical area are available upon request from the Laboratoires Dujardin-Salleron Sales Department by telephone at +33 (0)2 47 25 58 25 or by email at info@dujardin-salleron.com.
Prices do not include processing, shipping, carriage, or delivery charges. These are invoiced separately under the conditions set out in Sections 3 and 4 of these General Terms and Conditions of Sale and are calculated before the order is placed or at the time of dispatch. The amount payable by the Customer corresponds to the total purchase price, including these charges.
Payment may be made by bank transfer or cheque, as well as through the secure payment system on the website or by telephone.
Unless otherwise agreed in writing, our invoices are payable within 30 days from the end of the month, net and without discount, including in the event of immediate payment. Laboratoires Dujardin-Salleron nevertheless reserves the right to require payment upon ordering or delivery, regardless of the amount concerned.
In the event of late payment, late-payment penalties equal to three times the applicable statutory interest rate will be charged, together with a fixed recovery fee of €40 (French Law No. 2012-387 of 22 March 2012).
In such cases, an invoice corresponding to the late-payment interest will be issued after payment has been received from the Customer. The date of receipt of payment will be used to calculate the number of days overdue and the interest payable.
2a. Invoicing
As a general rule, all our goods are sold ex-warehouse. The minimum invoice amount is €50 excluding tax for mainland France and €100 for the rest of the world.
In exceptional circumstances and subject to our company’s approval, any order below the minimum invoice amount will be subject to an administrative fee of €10 excluding tax, in addition to packaging and carriage charges.
3. Delivery Terms and Time Frames
Delivery times are provided for information purposes only in the order acknowledgment. Delays shall not give rise to any entitlement to damages.
Unless otherwise agreed when the order is placed, each delivery, including a partial delivery, will be invoiced separately. The buyer may not postpone payment of issued invoices on the grounds that it is awaiting delivery of the outstanding balance.
Delivery charges in France and internationally are calculated based on the applicable rates of the selected carrier, the weight and packaging of the shipment, and any insurance costs.
4. Shipping/Receipt/Return of Goods
The goods will be delivered to the address specified in the order. Our deliveries are made ex-warehouse. Laboratoires Dujardin-Salleron reserves the right to select the shipping method, unless otherwise expressly requested by the Customer and accepted by the Sales Department, subject to feasibility.
Equipment and supplies are transported at the buyer’s risk, even when shipped carriage paid. The recipient is responsible for:
- Checking the condition and quantity of the goods upon receipt and, where necessary, opening the packages in the presence of the delivery driver;
- In the event of damage or missing items, recording reservations on the delivery receipt and specifying their nature as accurately as possible;
- Notifying the carrier of any damage or missing items by registered letter with acknowledgment of receipt within three days of receiving the goods, in accordance with Article 105 of the French Commercial Code;
- Simultaneously notifying Laboratoires Dujardin-Salleron of any loss or damage within three days.
The buyer must check that the goods delivered correspond to those ordered. If the buyer does not submit any written observations within three days of the delivery date, the delivery will be deemed accepted.
No returns will be accepted without the prior written approval of Laboratoires Dujardin-Salleron, which will specify the applicable return arrangements where appropriate. Laboratoires Dujardin-Salleron reserves the right to send back, at the sender’s expense, any goods received without such approval.
5. Instrument Warranty
New instruments are covered by a 12-month warranty from the date of delivery, unless special terms were agreed upon when the order was placed. This warranty covers manufacturing and operating defects identified during this period, provided that the instruments are used for their intended purpose and, where applicable, with the reagents and consumables specified by Laboratoires Dujardin-Salleron.
Any use that does not comply with normal operating conditions—including the use of products and consumables not supplied by Laboratoires Dujardin-Salleron—may void this warranty. The warranty may also be voided by improper maintenance, misuse by the buyer, or modifications carried out without our prior written approval.
Any work performed on the instruments by third parties during the warranty period will automatically void the warranty.
This warranty is expressly limited to the free provision of replacement parts or the repair of the instrument at our workshops, provided that it is returned carriage paid.
Parts subject to normal wear and tear, such as glassware, lamps, heating elements, fuses, tubing, and consumables, are excluded from the warranty.

5a. Warranty for Reagents and Consumables
The Laboratoires Dujardin-Salleron warranty for reagents and consumables is limited to the free replacement of items proven to be defective or unusable due to a material or manufacturing defect.
Laboratoires Dujardin-Salleron accepts no liability for damage resulting from storage conditions, improper handling, or inappropriate use of reagents or consumables, particularly any use that does not comply with the recommendations set out in the operating instructions for the instruments and reagents.
6. Retention of Title
In accordance with French Law No. 80-335 of 12 May 1980, all our goods are sold subject to retention of title. In the event of full or partial non-payment, we are entitled, notwithstanding any provision to the contrary, to repossess the goods after a formal notice to pay has remained unsuccessful.
In such cases, any deposits or advance payments made shall be retained by Laboratoires Dujardin-Salleron as compensation for the loss suffered and the costs incurred in recovering and transporting the products and equipment.
Ownership shall not pass to the buyer until the agreed price has been paid in full.
7. Order Cancellation
Unless expressly agreed otherwise by Laboratoires Dujardin-Salleron, orders placed by the Customer are firm and final.
Where equipment has been delivered and installed, any order cancellation requires the prior approval of Laboratoires Dujardin-Salleron.
In such cases, the equipment will be inspected by our technical department. Any costs required to restore the equipment to its original condition will be assessed, and an invoice will be issued covering the inspection costs, the various costs associated with installation and training, the cost of restoring the equipment, any depreciation in its value, and the cost of returning it to our premises.
8. Online Orders: Right of Withdrawal
In accordance with Article L. 121-21 of the French Consumer Code, the Customer has 14 calendar days from the receipt or collection of the products to exercise the right of withdrawal and return them to Laboratoires Dujardin-Salleron for an exchange or refund.

9. Payment Reminders/Legal Proceedings
In the event of full or partial non-payment of one or more invoices, and after three unsuccessful payment reminders, the Customer will receive a formal notice specifying the remaining period within which the outstanding debt must be paid.
If payment is not made within this final period, such non-payment will in itself constitute a breach of contract between the parties and will result in all amounts under every contract and commitment between the parties becoming immediately due and payable. The supply of all goods and services will consequently be suspended automatically.
Legal proceedings will then be initiated before the competent courts, and all related costs will remain payable by the defaulting buyer.
10. Jurisdiction
The parties expressly agree that the courts having jurisdiction over the registered office of Laboratoires Dujardin-Salleron shall have exclusive jurisdiction over any dispute.
11. Quality Charter
Laboratoires Dujardin-Salleron may collect and process its users’ personal data.
