We do not warrant that the appearance or quality of products or services purchased by you will meet your expectations or be identical to those displayed or depicted in our online stores. When you place an order, you make an offer to purchase. Laboratoires Dujardin-Salleron may accept or reject your order for any reason, at its discretion. Your order is accepted only after written confirmation from Laboratoires Dujardin-Salleron. We must receive and process payment before accepting your order. Review your order carefully before submitting it, as cancellation may not be possible after confirmation. If we reject, modify, or cancel your order, we will attempt to contact you using the email address, billing address, and/or telephone number supplied with the order. Purchases are subject to return or exchange in accordance with our Refund Policy. You represent and warrant that purchases are for personal or household use and not for commercial resale or export.

Prices, discounts, and promotions may change without notice. The price charged will be the price in effect when the order is placed and will appear in your order confirmation email. If promotion terms conflict with these Terms, the promotion terms prevail. SECTION 5 – SHIPPING AND DELIVERY

We are not liable for shipping or delivery delays. Delivery times are estimates and are not guaranteed. We are not responsible for delays caused by carriers, customs processing, or events beyond our control. Title and risk of loss pass to you when the products are transferred to the carrier.

Laboratoires Dujardin-Salleron is powered by Shopify, enabling us to provide the Services. However, all sales or purchases through our Store are made directly with Laboratoires Dujardin-Salleron. By using the Services, you acknowledge that Shopify is not responsible for any aspect of sales between you and Laboratoires Dujardin-Salleron, including injury, damage, or loss arising from purchased products or services. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchase and transaction with Laboratoires Dujardin-Salleron.

We may terminate this agreement or your access to all or part of the Services at our sole discretion, at any time and without notice. You remain liable for all amounts due through the termination date. The following provisions survive termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provision that by its nature should survive.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL, OUR PARTNERS, OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR DIRECT, INDIRECT, INCIDENTAL, EXEMPLARY, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, REVENUE, SAVINGS, OR DATA, REPLACEMENT COSTS, OR SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR PRODUCTS OBTAINED THROUGH THEM, OR ANY CLAIM RELATED TO SUCH USE, INCLUDING ERRORS OR OMISSIONS IN CONTENT OR LOSS OR DAMAGE ARISING FROM USE OF THE SERVICES OR CONTENT OR PRODUCTS POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THEM, EVEN IF ADVISED OF THEIR POSSIBILITY. 

SECTION 18 – INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Laboratoires Dujardin-Salleron, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from third-party losses, damages, liabilities, or claims, including reasonable attorneys’ fees, arising from: (1) your breach of these Terms or incorporated documents; (2) your violation of law or third-party rights; or (3) your access to and use of the Services. We will notify you of covered claims. Failure to promptly notify you does not relieve you of your obligations unless it materially prejudices you. We may control the defense and settlement at your expense, including selecting counsel, but will not settle a claim imposing non-monetary obligations on you without your consent, which may not be unreasonably withheld. You will cooperate in the defense, including by providing relevant documents.

If any provision of these Terms is held unlawful, void, or unenforceable, it remains enforceable to the fullest extent permitted by law, and the unenforceable portion is deemed severed. This does not affect the validity or enforceability of the remaining provisions.

SECTION 20 – WAIVER; ENTIRE AGREEMENT

Failure to exercise or enforce a right or provision of these Terms does not constitute a waiver of that right or provision. These Terms and the policies or operating rules posted by us on this site or relating to the Service constitute the entire agreement and understanding between you and us, govern your use of the Service, and supersede all prior or contemporaneous oral or written agreements, communications, and proposals, including previous versions of these Terms. Ambiguities in interpreting these Terms shall not be construed against the drafting party.

You may not delegate, transfer, or assign this agreement or any rights or obligations under these Terms without our prior written consent. Any unauthorized attempted assignment is null and void. We may transfer, assign, or delegate these Terms and our rights and obligations without your consent or prior notice.

These Terms and any separate agreement through which we provide the Services shall be governed by and construed under the federal laws and the laws of the states or territories of the courts having jurisdiction where Laboratoires Dujardin-Salleron has its registered office. You and Laboratoires Dujardin-Salleron expressly consent to the territorial and personal jurisdiction of those courts.
